In these terms, NedDev means: NedDev BV, established at Den Haag in The Hague, registered with the KvK under number 65641922. Client is the party that enters into an agreement with NedDev.
These terms apply to all quotes, assignments and agreements between NedDev and the client, unless agreed otherwise in writing. Deviations only apply if confirmed in writing.
Quotes are valid for 30 days. Prices are exclusive of VAT, unless stated otherwise. For fixed-price projects, the price is set for the agreed scope. Work outside the scope is billed hourly at the applicable rate of €85 per hour, after consultation.
NedDev performs the agreement to the best of its insight and ability. We work in weekly sprints with visible progress on a staging environment. The client ensures timely delivery of the necessary content, access and feedback.
Invoices are sent in instalments according to the agreed milestones. Payment is due within 14 days of the invoice date. In case of late payment, statutory commercial interest is due. For projects, an upfront payment of 40 percent at the start usually applies.
After full payment, NedDev transfers the intellectual property of the delivered custom code to the client. Our internal libraries, frameworks and reusable components remain the property of NedDev and are provided under licence.
The liability of NedDev is limited to the invoice amount of the relevant assignment. NedDev is not liable for indirect damage, consequential loss or lost profit. This limitation does not apply in the event of intent or gross negligence.
After delivery, a warranty period of 30 days applies during which we fix bugs free of charge. Ongoing maintenance, hosting and support fall under a separate maintenance agreement from €495 per month.
All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district of The Hague.
